Terms of Service

The statements expressed in advertisements are those of the advertisers & not necessarily of Think Realty. Think Realty shall have at its absolute discretion the right to refuse, omit, suspend, or change the position of any advertisement accepted for insertion. Think Realty reserves the right to reject advertising that it believes is false, slanderous, exploitative, socially irresponsible, hateful or offensive to its readership, that fails to meet the production standards or because of an outstanding debt. The word “advertisement” shall be printed at the top of advertisements that, in the opinion of the publisher, might be confused with editorial pages.

Think Realty adheres to the following advertising placement policies.

Cancellations will not be accepted after the closing date. Cancellations must be submitted in writing to Think Realty 30 days in advance. Advertiser has option to move future placements into other forms of media within Think Realty in lieu of cancellation. If a contract is cancelled early, advertiser is responsible for paying 50% of the remaining amount of the contract. An advertiser may change ad copy before the content date. The advertiser (or its agency) is responsible for providing the publisher with all ad material. Requested ad positions are not guaranteed unless the advertiser purchases a preferred position with agreed upon price.

 Terms and Conditions

The following terms and conditions (“Advertiser Terms and Conditions”) govern the placement and delivery of advertising (“Ad”) as set forth in the Insertion Order submitted by the Advertiser. The Advertiser Terms and Conditions and any associated Insertion Order or Insertion Orders are collectively referred to herein as the “Advertiser Agreement.” This Agreement is entered by and between the Think Realty and the company named as advertiser in the Insertion Order (“Advertiser”) and/or the agency listed in the Insertion Order for such Advertiser (“Agency”), if any.

INVOICES: Invoices will be sent by Think Realty at such times as provided in the Insertion Order, or otherwise from time to time according to Think Realty’s normal billing procedures. Invoices will be sent electronically, as applicable and as set forth in the Insertion Order. Failure by Think Realty for whatever reason to send a timely invoice will not affect Advertiser’s obligation to pay for any Ads placed in accordance with the Insertion Order.

TERMS OF PAYMENT: Payment is due immediately upon receipt of invoice, unless Think Realty expressly agrees otherwise in the Insertion Order. If payment is not made, all costs of collection, including reasonable legal fees and expenses, incurred by Think Realty   shall be borne by the Advertiser. The Advertiser shall pay all sales, use, excise and other taxes which may be levied upon either party in connection with this Advertiser Agreement, except for income taxes. Should the advertiser have any other outstanding and overdue amounts owed to Think Realty for any other service or products, amounts paid for an advertisement may be applied to such other debts, in the discretion of Think Realty.

PAYMENT LIABILITY: In the case of any Agency listed on the Insertion Order, Think Realty will hold Agency and Advertiser jointly and severally liable for payments. Should sums not have been cleared to Agency, Agency agrees to make every reasonable effort to collect and clear payment from Advertiser on a timely basis. Upon Think Realty’s request, Agency will make available written confirmation of the relationship between Agency and Advertiser. Such confirmation will include, for example, Advertiser’s acknowledgement that Agency is its agent and is authorized to act on its behalf in connection with the Insertion Order and confirm these Advertiser Terms and Conditions.

DELIVERY OF ADVERTISING MATERIALS: The Advertiser will, at its sole cost and expense, create and deliver all advertising materials required for any Ad (“Advertising Materials”) according to technical specifications provided by Think Realty. If the delivered Advertising Materials do not conform to Think Realty’s technical specifications or do not arrive timely enough to deliver the Ad on any agreed dates according to the Insertion Order, then Think Realty, in its sole discretion, may postpone running such Ad until a reasonable period of time after the non-conforming Advertising Materials are corrected, or the late-arriving Advertising Materials are received; in any case, Think Realty will charge the Advertiser a $100 late fee for each occurrence.

ADVERTISER & AGENCY REPRESENTATIONS & WARRANTIES: The Advertiser, and any Agency listed on the Insertion Order on its behalf, is responsible for any liability arising out of or relating to any Ad and Advertising Materials provided by the Advertiser or Agency hereunder and any material to which users can link through such Ad (“Linked Content”). The Advertiser represents and warrants that no part of the Ad, Advertising Materials or Linked Content will: (a) infringe on any third party’s copyright, patent, trademark, trade secret or other proprietary rights or right of publicity or privacy; (b) violate any law, statute, ordinance or regulation, including, without limitation, laws and regulations governing export control, false advertising or unfair competition; (c) be defamatory or libelous; (d) be pornographic or obscene; or (e) contain viruses or other similar harmful or deleterious programming routines.

DISCLAIMER & WARRANTIES: Think Realty provides its publications, websites, and services on an “as is” and “as available” basis, without any warranty of any kind. in the event of any error or malfunction in the display or distribution of any ad, our printer’s sole obligation will be to reprint or redisplay the ad as soon as reasonably practicable. Think Realty disclaims any and all warranties of any kind, whether express or implied, including but not limited to the implied warranty of merchantability of fitness for a particular purpose and implied warranties arising from course of dealing or course of performance and expressly excludes all warranties, representations, conditions and all other terms of any kind whatsoever implied by statute or common law.

LIMITATIONS OF LIABILITY: in no event shall Think Realty be liable for any loss of profits, depletion of goodwill and/or similar losses or loss or corruption of data or information, or pure economic loss, or for any special, indirect or consequential loss, costs, damages, charges or expenses arising out of or in connection with this advertiser agreement including any insertion order (even if Think Realty was advised of the possibility of any of the foregoing). Under no circumstances shall Think Realty be liable to the advertiser, agency or any third parties for an amount greater than the amounts received by Think Realty under the relevant insertion order in relation to which such liability may arise. In lieu of refund, Think Realty shall be permitted to cause the placement of “make-good” advertising, if the “make-good” advertising is provided within a reasonable period of time after the liability has accrued.

INDEMNITY: Each of the Advertiser and any Agency agrees to indemnify, defend, and hold harmless Think Realty and its affiliates, directors, officers, agents and representatives for and from any claims, liabilities, losses, costs and expenses (including reasonable legal fees and disbursements) resulting from or arising out of (a) the acts or omissions or breach of this Advertiser Agreement by the Advertiser or such Agency as applicable (including Advertiser’s Representations and Warranties set forth above), (b) the content or subject matter of any Ad or Advertising Materials, or (c) any violation of any applicable laws, rules, regulations, industry guidelines or policies, including without limitation relating to any end user or other data that it may collect or have collected in relation to the Ads placed according to the Insertion Order.

MISCELLANEOUS: This Advertiser Agreement, including these Advertiser Terms and Conditions and associated Insertion Order(s), sets forth the entire agreement of the parties and supersedes any and all prior oral or written agreements or understandings between the parties as to the subject matter hereof. Only a written addendum signed by both parties may change this. This Advertiser Agreement will be governed and construed in accordance with the laws of the state of Missouri. The Advertiser and Think Realty agree to submit to the exclusive jurisdiction of the courts of Platte County, Missouri. If any provision of this Advertiser Agreement is held to be invalid or unenforceable for any reason, the remaining provisions will continue in full force without being impaired or invalidated in any way.

Event Sponsorship

ASSIGNMENT OF SPACE: Exhibit booths in optimal locations are first assigned to major sponsors of the Think Realty. Assignment of other booth spaces will be honored on a “first pay, first serve” basis. Think Realty reserves the right to make such changes to the floor plan or exhibit booths as may be deemed necessary. Requests submitted afterwards may not be accommodated.

MARKETING: Sponsors may only market from their booth. Please do not walk around passing out flyers or distribute on tables throughout the event vicinity. Please be respectful of other sponsors and do not stand in front of other booths with any type of marketing material.

EXHIBIT FEES AND PAYMENT: Agreements will not be processed or space assigned without the required payments and signature. All agreements must be accompanied by full payment, either by credit card or in the form of a check. Please make checks payable to: Think Realty, and mail to: 118 N Conistor Ln, Ste B, Box 509, Liberty, MO 64068. Receipt of payment does not obligate the Expo to accept a contract as binding. Full payment must be received within 30 days of signed agreement. Failure to pay on-time may result in forfeiture of the sponsorship package.  Full payment must be received within 30 days of signed agreement. If signed less than 30 days before event, payment must be submitted in full immediately. Failure to pay as set in the agreement may result in forfeiture of the sponsorship package. If paying by credit card, you will receive an email with a link and instructions for paying online. If paying by check, please note that your sponsorship will not be confirmed until the payment is received.

EXHIBITS: The expo will be comprised of skirted 6 foot tables with 2 chairs per table. Tables will be space out by at least 3 feet between each table.

INSTALLATION AND DISMANTLING: Exhibitor Installation and Dismantling will vary based on individual event timeline. Please refer to the event website or contact the events team at 816.398.4130 for details. Exhibitors who are unable to set up during the designated times are asked to give advance written notice to show management of their situation. Unavoidable delay may result in risk of booth space being relocated to a space less visible. Dismantling of exhibit booths may not begin until the assigned time following the event. Exhibitors that do not abide by this policy are subject to not being allowed to return to upcoming Think Realty events. Exact times are subject to changes upon written notice by Think Realty.

SHIPPING: Think Realty will provide shipping information to each exhibitor which will include shipping instructions and forms for all services needed during installation, show period, handling fees, and removal of exhibit booths.

SPONSOR REGISTRATION: Signed contract with full payment must be received 30 days prior to event in order to be included in all conference materials. Sponsors must provide names and email addresses of their representatives no later than 10 business days prior to the event.

USE OF SPACE: Sponsors shall not assign, sublet, or share any space without written consent of Think Realty. All exhibitors and displays must remain within the confined area of the booth space. Displays may not extend more than 8’ above the floor, obstructing the view / display of other exhibitors. Noticeable noise produced from operation of any equipment or apparatus is not permitted.

FOOD & BEVERAGE POLICY: Due to hotel policies, no outside food or beverage may be served from an exhibit booth or anywhere in the trade show.

LIABILITY: Think Realty will not be held responsible for the safety of sponsor property from theft, fire, damage, accidents or any other causes. Sponsors agree to protect, save and hold the Expo and all agents, contractors, and employees thereof (hereafter collectively called “indemnities”) forever harmless for any damages or charges imposed as violations of any law or ordinance, whether occasioned by the negligence of the sponsor or those operating under the sponsor. Further, sponsor shall at all times protect, indemnify, save and hold harmless the indemnities against and from any and all losses, costs (including attorney’s fees), damages, liability or expense arising from or out of or by reason of any accident of bodily injury or other occurrence to any person or persons, including the sponsor, its agents, employees and business invitee which arises from or out of by reason of said sponsor’s occupancy and use of the trade show premises or a part thereof.

SAFETY REGULATIONS: Sponsors must adhere to all municipal and state laws, rules and regulations. No combustible decorations may be used at any time. All drapes, table coverings and other materials must comply with fire department regulations. Think Realty recommends removing valuable materials when not at your booth.

PROFESSIONAL CONDUCT: All Speakers, Sponsors and Attendees are expected to conduct themselves in a professional and ethical manner while participating in the Think Realty National Conference & Expo. Any misconduct will result in being escorted out of the event. Misconduct is determined at the discretion of Think Realty staff.

FAILURE TO OCCUPY SPACE: Space not occupied by the close of the exhibit installation period as specified in these rules and regulations will be forfeited by the sponsor. This space may be resold, reassigned or used by the trade show
manager. Contractual obligations still apply.

OUTSIDE ACTIVITIES: The sponsor shall not foster or conduct outside activities which would take qualified attendees from official Think Realty functions or trade show during scheduled hours. Use of meeting facilities or Think Realty contracted hotels by sponsors or companies or sales or business meetings during the expo dates must be approved in advance by Think Realty. Hospitality suites shall not be open during Expo hours. Any violation by the sponsor of the trade show rules and regulations herein may, in Think Realty’s sole determination, constitute a breach of the agreement resulting in termination, forfeiture of any monies paid on account,
and removal from the event.

SHOW POSTPONEMENT: In the event that Think Realty postpones an event for any reason, the Sponsor will receive a credit for 100% of the cost of sponsorship for the postponed event. The credit may be applied toward sponsorship of the rescheduled event, sponsorship of another Think Realty event, or Think Realty media purchase, as mutually agreed upon between Think Realty and Sponsor. There are no refunds given.

SHOW CANCELLATION: If the Think Realty Conference & Expo is canceled due to circumstances beyond the control of Think Realty, it shall not be held liable for any expenses incurred by the Sponsor beyond the rental cost of the booth or meeting space. A show shall be considered cancelled if it is not rescheduled for a date within 365 days of the original show date, and/or if it is not rescheduled to take place in a location within 50 miles of the original location.

EVENT RESTRUCTURE. Should the event be restructured into a fully virtual event,  both Parties shall enter into good faith discussions with a view to alleviating its affects or to agreeing upon such alternative arrangements as may be fair and reasonable having regard to the circumstances prevailing at that time.

SELECTION OF SPONSORS: Only forms and companies whose services and products are appropriately related to the purpose of the Think Realty Conference & Expo shall be permitted to exhibit. Think Realty reserves the right to decline or prohibit any exhibit which, in its sole judgment is inappropriate, this reservation being all inclusive as to person, things, printed matter, products and conduct.

CANCELLATION POLICY: Cancellations will not be accepted for packages including speaking sessions. All other cancellations must be received in writing or email, no later than 90 days prior to the original event date in order to qualify for a refund prorated at our full retail rate for completed events, less service fee of $500. There will be no refunds for Expo no-shows and will be charged according to their signed agreement.

MEDIA RELEASE: Think Realty reserves the right to use pictures, video footage and electronic sound recordings taken during the duration of the event to be used for educational and other public media purposes.
